Dear Person interested in putting to film an adaptation of your real life experience told in motion picture form what your people, not only as a group, but as a nation experienced at the hands of the government in which you were subjected,
In consideration of the sum of $10,000, you agree for a period of eighteen (18) months commencing with the execution of this consultation agreement (The initial consultation period) to cooperate and consult exclusively with, and provide information and relevant materials exclusively to, said production studio, a division of a conglomerate, in connection with producer's development of a motion picture based upon the lives of an organization that was founded in the interest of said people due to an oppressive government whose hierarchy was only two classes of people, rich or poor. At any time during the initial consultation period, producer may exercise its right to extend the initial consultation period for a period of eighteen (18) additional months (The second consultation period) by paying you the sum of $10,000. Finally, if Producer does produce the picture and you are not in material default of your obligations hereunder, then producer shall pay you a production bonus of $50,000 less the $10,000 applicable to the initial consultation period, payable upon commencement of principal photography of the picture.
(a) Your obligations pursuant to this consultation agreement require that you: be available at reasonable times to consult with producer as to your life story, including without limitation your experiences with the Said Organization, and provide producer with relevant materials in your possession or control; and use your reasonable best efforts to secure interviews and depiction releases from family members, professional associations, friends and third parties with whom you are acquainted in connection with producer's development of the project. The exclusivity provided for in Paragraph 1 means that you shall not lend your name or endorsement and shall not otherwise cooperate in any way with any other production based in whole or in part upon the experiences of the Said Organization; provided, however, that you may so cooperate with legitimate television news programs or television documentaries of 60 minutes or less. You shall continue to provide producer with said exclusive services throughout the initial consultation period, the second consultation period (if applicable) and, if producer pays the production bonus prior to the expiration of the second consultation period, for an additional eighteen (18) months following the second consultation period.
(b) You acknowledge that Producer shall have the right to portray you in the Picture and the producer shall have the right to modify and fictionalize events in your life story in connection with the picture provided that producer does not intentionally defame you and provided that producer's modifications to and fictionalization of your life story are not inconsistent with the spirit of the Said Organization and its cause.
(c) Producer shall have no obligation to actually produce the picture or to otherwise exploit any information and/or materials provided by you pursuant to this consultation agreement and the exclusive services provided by you hereunder shall in no way limit producer's rights with respect to the story of the Said Organization or otherwise which producer may now or hereafter enjoy as a member of the general public. Producer shall own all right, title and interest in the picture and in any other works derived from the picture which are created by or for producer and producer shall have the right to exploit the works in any and all media now known or hereafter devised throughout the world in perpetuity. In connection with said works, producer shall have the right to use the likeness of any actor who portrays you in the picture but producer shall not the right to use likeness without your prior written consent in each case.
3. EXPENSES: If your principal residence is more than fifty (50) miles from where purchaser required you to perform consulting services at an overnight location, producer shall: (a) furnish and pay for, or reimburse you for, the cost of round-trip transportation, first-class if available, by air if appropriate, between such residence (or from wherever you them may be, if closer) and where such services are required; (b) reimburse you for the cost of all reasonable first-class living expenses that you incur, not exceeding $2,000 per week in major cities or $1,500 per week elsewhere; and (c) provide you, while on location, with ground transportation between your living quarters and the location site of principal photography. Purchaser's obligation to reimburse you for transportation and living expenses shall be subject to purchaser's usual expense accounting procedures. Partial weeks shall be prorated on the basis of a seven (7) day week.
4. CREDIT: Producer shall accord you a credit substantially in the form of “Assistant to the leader of Said Organization” on-screen in the end titles of the picture.
5. You acknowledge that in the event of a breach of any of producer's obligations under this consultation agreement, the damage (if any) caused by you thereby is not irreparable or otherwise sufficient to give rise to a right of injunctive or other equitable relief. Producer shall have the right to assign or license any or all of its rights under this agreement to any person or entity. In the event producer shall make any assignment of the rights conveyed to producer hereunder, and in the event the assignee assumes all of producer's executory obligations hereunder in writing, producer shall be and is hereby released form all further obligations to you hereunder, except that unless the assignee is a so-called major motion picture company, or unless you consent to such assignment in writing, producer shall remain secondarily liable for any all payments of compensation to be made to you hereunder, if and when due, other than any percentage participations.
6. All notices and payments hereunder shall be sent to you at your address on file. Notices and payments shall be deemed made when the same are deposited in the United States mail, postage prepaid, so addressed.
